Introduction

Welcome to Munyayi, a digital marketplace where users can buy and sell online businesses, websites, domains, and digital assets.
These Terms of Service (“Terms”) govern your use of our platform and all services offered.

By accessing or using Munyayi, you agree to comply with these Terms, all applicable laws, and all additional policies published on the platform.
If you disagree with any part of these Terms, do not use the platform.

Munyayi reserves the right to refuse, suspend, or terminate any account or service at our sole discretion, with or without cause.

2. Platform Role & Escrow Function

2.1 Marketplace Operator

Munyayi acts as a neutral marketplace that:

  • Allows sellers to list digital businesses or assets

  • Allows buyers to browse, bid, or make offers

  • Facilitates secure communication

  • Provides an escrow system to protect both parties

We do not own any listings unless explicitly stated, and we are not responsible for the performance or future success of a business being sold.

2.2 Escrow Services

To protect both buyers and sellers, Munyayi operates an integrated escrow system:

  • When a buyer purchases a business, the funds are held securely by Munyayi until the handover is completed.

  • The seller must deliver all assets as stated in the listing (logins, domain transfers, content, data, files, financial proofs, etc.).

  • Funds will only be released after the buyer confirms successful handover or after a verification process if the buyer becomes unresponsive.

2.3 Handover Process

The handover process may include:

  • Transferring website files, domains, and hosting

  • Delivering admin login access

  • Assigning social media accounts

  • Transferring memberships, APIs, ad accounts, or online tools attached to the business

  • Providing operational documentation

  • Demonstrating ownership and offering reasonable migration support

Both parties must cooperate fully to ensure a smooth transition.

2.4 Failed Handover

If the seller fails to hand over the assets:

  • The transaction may be cancelled

  • Funds may be returned to the buyer

  • The seller’s account may be suspended or permanently banned

If the buyer unreasonably refuses to confirm a completed handover:

  • Munyayi reserves the right to release funds to the seller after internal verification.

2.5 Dispute Resolution

If a dispute arises:

  • Evidence must be submitted by both parties

  • Munyayi will review logs, chats, proof of ownership, transfer confirmations, etc.

  • Munyayi’s decision on escrow fund release is final and binding

We do not tolerate fraudulent behaviour from either side.

3. Listing Rules and Marketplace Integrity

3.1 Listing Eligibility

To sell a digital business on Munyayi:

  • You must be the legal owner

  • You must provide truthful and accurate information

  • You must pass our verification checks (proof of ownership, traffic logs, revenue claims, DNS checks, social account verification, etc.)

Fraudulent, misleading, or unverified listings will be removed without notice.

3.2 Prohibited Listings

You may NOT list:

  • Businesses or accounts you do not own

  • Stolen, hacked, or compromised digital assets

  • Fake or manipulated analytics, financial figures, or screenshots

  • Copyright-infringing content

  • Illegal services or prohibited digital products

3.3 Listing Removal

Munyayi may remove any listing at its discretion if:

  • Ownership cannot be verified

  • Claims appear fraudulent

  • The listing violates platform rules

  • The seller behaves dishonestly

Listings removed due to fraud do not qualify for refunds.

4. Acceptable Use & Conduct

4.1 Misuse of Platform

You must not:

  • Abuse customer support channels

  • Harass buyers, sellers, or staff

  • Attempt to bypass the platform to avoid fees

  • Engage in scams, misleading offers, or manipulation

4.2 Server & Digital Abuse

The following are strictly forbidden:

  • Malware, viruses, trojans, exploit kits

  • Spam, mass mailing, or unsolicited marketing

  • Phishing or impersonation

  • Botnets or malicious automation

  • Resource abuse or cronjob overload

  • Proxy services, fake mailers, or SMS/email bombers

Any violation may result in immediate termination without refund.

5. Support Policy

5.1 Support Scope

We provide assistance for:

  • Escrow guidance

  • Account issues

  • Platform-related queries

  • Technical assistance when it relates to server configuration (if applicable)

5.2 What We Do Not Support

We do not provide:

  • Coding help

  • Website debugging

  • Third-party app troubleshooting

  • Emergency, phone, or on-demand live chat support

Support responses may take several hours depending on workload.

6. Backups

We may maintain backups for operational purposes, but:

  • We do not guarantee availability

  • We are not responsible for data loss

  • Users must maintain their own backups at all times

7. Ownership, Intellectual Property & Licensing

7.1 Platform Ownership

All platform code, branding, and systems remain the exclusive property of Munyayi.

7.2 User Asset Ownership

Sellers are responsible for ensuring they have full ownership rights to the assets they list.

7.3 No Transfer of Munyayi IP

Nothing in these Terms transfers Munyayi intellectual property to users.

8. Warranties and Limitations

All services are provided “as-is” and without warranty.
We do not guarantee:

  • Business performance

  • Accuracy of third-party tools

  • That all features will function with all browsers or systems

Munyayi is not liable for:

  • Lost revenue

  • Loss of data

  • Indirect, incidental, or consequential damages

9. Unauthorized or Illegal Activity

Users may not:

  • Break Zimbabwean law

  • Break international digital, copyright, or cybercrime laws

  • Promote violence, terrorism, hate, piracy, or obscene content

We may suspend or terminate accounts immediately if these conditions are violated.

10. Payment, Escrow, and Refunds

10.1 Payments

All payments must be made through the platform’s approved methods.
You may not use stolen or unauthorized cards.

10.2 No Refund Policy

All deposits, listing fees, boosts, escrow fees, and service purchases are non-refundable.

10.3 Chargebacks

Filing a chargeback or dispute against Munyayi may result in:

  • Permanent account termination

  • Loss of all active listings

  • Forfeiture of funds held in escrow

10.4 Fraud Prevention

Any fraudulent payment or activity may result in the involvement of law enforcement.

11. Free Credits, Coupons, and Promotions

Any promotional balance given by Munyayi may be revoked at our discretion.

If promotional deductions cause a negative balance:

  • Your account may be suspended until the balance is settled

12. Account Responsibility

You are responsible for:

  • Maintaining the security of your account

  • All actions taken under your account

  • Immediately reporting unauthorized activity

We may suspend accounts suspected of compromise.

13. Termination of Service

Munyayi may suspend or terminate your account for:

  • Policy violations

  • Fraud

  • Illegal activities

  • Repeated disputes

  • Abuse of services

  • Attempting to bypass fees

  • Misuse of escrow

No refunds will be issued for accounts terminated due to violations.

14. Changes to These Terms

We may update these Terms at any time.
Changes will be posted on this page.
Continued use of the platform signifies acceptance of the updated Terms.
